1. Acceptance of Terms and Scope  

1.1 These Terms and Conditions (these “Terms”) govern your registration for and participation in the Chicago Private Capital Forum (the “Event”), organized by Sky Expo Consulting an Illinois Corporation (“Organizer”, “we”, “us”, or “our”). By registering for or attending the Event, or by accessing or using our website located at https://skyexpoconsulting.com/ (the “Website”), you agree to comply with and be bound by these Terms and Conditions. If you do not agree to these Terms, you may not attend the Event or use the Website.

1.2 In these Terms and conditions:

    • “You” and “Your” mean the individual attending the Event or the entity you represent.
    • “We,” “Us,” “Our,” and “Organizer” mean Sky Expo Consulting.
    • “Event” means the Chicago Private Capital Forum.
    • “Terms” means these Terms and Conditions.

 1.3 These Terms and Conditions apply in full and are not subject to individual negotiation or one-off amendment on a case-by-case basis.

1.4 We reserve the right to modify these Terms at any time. Such changes will become effective immediately upon being posted on the Website. Continued use of the Website or participation in the Event following any updates constitutes your acceptance of the revised Terms. It is your responsibility to review the Terms periodically to stay informed of any modifications. We will provide notice of material changes via prominent notice on the Website at least thirty (30) days before the changes take effect, unless changes are required by law.

2. Registration

2.1 You must be at least eighteen (18) years of age to register for or attend the Event. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are registering on behalf of an entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2.2 Attendance at the Event is by invitation only. Submission of a registration form— whether on your own behalf or through a representative—indicates your interest in attending the Event and does not in itself guarantee participation.

2.3 All registrations are subject to acceptance by the Organizer. Your attendance at the Event will be officially confirmed only upon receipt of a written acceptance notice.
(“Confirmation”) sent to the contact details provided during registration. We reserve the right to verify the accuracy of registration information and may request additional documentation.

2.4 Confirmation may be delivered via email or other written communication. If you do not receive a Confirmation within five (5) business days of submitting your registration, please kindly contact the Organizer at info@skyexpoconsulting.com. However, if no Confirmation is issued within fourteen (14) days of the Organizer receiving your registration, your registration will be considered accepted unless the Organizer informs you otherwise.

2.5 The Organizer reserves the right, at its sole discretion, to accept or decline any registration or withdraw an invitation at any time before the Event without liability. While the Organizer is not obligated to provide a reason for such decisions, every effort will be made to communicate promptly and transparently. By submitting a registration form on behalf of another individual or organization, you represent and warrant      that you are authorized to do so and acknowledge that such registration will constitute a legally binding agreement between the Organizer and the individual or entity you represent. The Organizer will rely on the authority of the registering party unless notified otherwise in writing prior to Confirmation. You agree to indemnify and hold harmless the Organizer from any claims arising from your lack of authority.

2.6 You agree to provide true, accurate, current, and complete information as prompted during the registration process (“Registration Data”). You are responsible for maintaining the confidentiality and security of any login credentials or account information associated with your registration. You agree to promptly update your Registration Data if any information changes to ensure it remains accurate and complete. You accept full responsibility for all activities occurring under your registration or account. The Organizer disclaims any liability for losses or damages arising from unauthorized use or inaccurate information provided by you. You must immediately notify us of any unauthorized use of your account or any other breach of security.

3. Fees and Payment Terms

3.1 Participants are required      to pay the full event registration fee (“Fees”) as specified on the official registration form or event website. To secure your participation, Fees must be paid in cleared funds no later than five (5) business days prior to the event start date.
Please note that failure to meet this deadline may result in automatic cancellation of your registration and denied entry at the Organizer’s discretion, and any outstanding balances will remain due. Full details regarding fees and deadlines will be available on the official event website or registration form.

3.2 Payment must be made in United States Dollars (USD) and processed through one of the accepted payment methods as specified by the Organizer, which may include credit/debit card, bank transfer, or other methods as stated during the registration process. All payment processing is subject to the terms and conditions of our third-party payment processors.

3.3 Unless otherwise stated, the registration fee does not include applicable taxes, such as VAT, sales tax, or similar charges. Attendees are responsible for ensuring these are paid, and the Organizer may adjust the total fee to account for any taxes or required deductions in compliance with local tax regulations.

3.4 Any available discounts, whether promotional, group-based, or special offers, must be applied during the registration process. Eligibility for such discounts is subject to the Organizer’s review and approval and may not be combined unless expressly permitted. In cases where a group discount is granted and fewer participants attend than originally indicated, the Organizer may recalculate the total fee accordingly and invoice for any difference.

3.5 While the Organizer strives to maintain accurate pricing, fees are subject to change. The Organizer reserves the right to modify pricing as necessary. Adjustments will not affect registrations that have already been confirmed and paid in full.

3.6 Payments are non-refundable except as explicitly stated in the cancellation policy or as required by applicable law. The Organizer will issue an invoice or receipt upon successful payment in accordance with applicable tax regulations     

3.7 To benefit from any ‘early bird’ rate, both registration and full payment must be received before the deadline date listed on the Event website or communications. Any registrations received after this deadline will be charged at the standard rate.

4. Cancellation and Refund Policy

4.1 All cancellations and refund requests must be made in writing by email to connect@skyexpoconsulting.com. Proof of receipt is required, and your cancellation will be considered confirmed only upon receipt of a written acknowledgment from Sky Expo Consulting.

4.2 If you cancel your registration 45 days or more before the Event, you will receive a full refund, minus a 10% cancellation fee (plus any applicable taxes).

4.3 If you cancel your registration between thirty (30) and forty four (44) days before the Event, you will receive a 50% refund.

4.4 Regrettably, Cancellations made within twenty nine (29) days of the Event, as well as non- attendance, do not qualify for a refund.

4.5 If your cancellation affects a group or multi-registration discount, the lowest-priced registration in the group will be canceled first.

4.6 Once you access any pre-event networking tools or platforms, cancellations are no longer permitted.

4.7 Substitutions within the same organization may be arranged, provided that written notice is submitted at least five (5) business days in advance of the Event. Substitutions are not permitted across different companies. Once a registration has been canceled, it cannot be substituted. The original registrant remains liable for the full registration fee unless a substitution is properly completed prior to cancellation. All substitutes must meet the eligibility requirements and agree to these Terms.

4.8 Registrations are for individual use only and may not be shared, resold, or transferred to another person outside your organization. Any attempt to resell or transfer registration may result in immediate cancellation without refund.

5. Changes to the Event

5.1 The Organizer reserves the right to make changes to the Event at any time for any reason, including the right to change the date or cancel the event entirely. This includes changes to the event’s format (e.g., moving from in-person to virtual), content, speakers, agenda, venue, date, or any other details of the Event,, including circumstances beyond our control. All speakers and agenda topics are confirmed at the time of publication; however, substitutions, alterations, or cancellations may occur. The Event website will be updated promptly to reflect any such changes. If the event is rescheduled, your registration will automatically carry over to the new date. If you are unable to attend the rescheduled event, you may request a full refund or credit within fourteen (14) days of being notified of the change. After that, our cancellation and refund policy (see Section 4) will apply.

5.2 If the event is fully canceled and not rescheduled, you will receive either a full refund or a credit toward a future event, depending on your preference. Refunds will be processed within thirty (30) days of cancellation.

5.3 If the Event is impacted by unexpected or uncontrollable events (force majeure) such as natural disasters, acts of God, public health emergencies, epidemics, pandemics, travel restrictions, war, terrorism, civil unrest, labor disputes, government actions, or other force majeure events, we may modify, postpone, or cancel the event. In such cases, we will not be responsible for additional costs or damages incurred by participants, but your registration will be handled in line with the refund terms in Section 4.

5.4 These remedies (refund or credit) are your only rights in relation to any changes, delays, or cancellations. To the maximum extent permitted by law, we are not liable for any other costs, losses, or damages, including but not limited to travel expenses, accommodation costs, or other incidental expenses.

6. Code of Conduct

6.1 All participants are expected to behave professionally, respectfully, and in a manner that supports a safe and inclusive environment for all attendees. This includes compliance with all applicable laws and regulations.
We maintain a comprehensive Code of Conduct that prohibits discrimination, harassment, unauthorized solicitation, disruptive behavior, and any illegal activities. The Code of Conduct also outlines expected professional standards, safety protocols, and consequences for violations.

7. Disclaimers and Limitation of Liability 

7.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE EVENT, WEBSITE, AND ALL MATERIALS, INFORMATION, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

7.2 We strive to ensure a smooth and successful Event. However, the Organizer is not liable for any errors, omissions, or delays in services provided by third-party vendors or the venue.

7.3 THE ORGANIZER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

7.4 The information presented at the Event, including by speakers and sponsors, is for informational purposes only and does not constitute professional advice. The Organizer does not endorse or guarantee the accuracy of any third-party content or opinions expressed at the Event.

8. Sponsorship/Speaker Terms

8.1 Sponsorship arrangements are governed by separate Sponsorship Agreements. For sponsorship opportunities and terms, please contact info@skyexpoconsulting.com.     

8.2 Speaker participation is governed by separate Speaker Agreements. Selected speakers will receive individual agreements outlining specific terms

8.3 All sponsors, speakers, and partners attending the Event remain subject to these general Terms of Service in addition to any specific agreements.           

9. Anti-Harassment Policy

9.1 Harassment of any kind, including but not limited to inappropriate verbal or physical conduct, sexual harassment, bullying, or discriminatory behavior, is strictly prohibited. Any incidents of harassment should be immediately reported to Event staff. The Organizer will investigate all reports promptly and take appropriate action.

9.2 Violators may be removed from the Event without a refund and may be barred from future events.

10. Limitation of Liability

10.1 To the fullest extent permitted by applicable law, the Organizer, its affiliates, officers, directors, employees, contractors, vendors, service providers, and any other third parties engaged in connection with the Event (“Released Parties”) exclude all liability for any loss, injury, or damage to persons or property arising from or in connection with your participation in the Event, including but not limited to any incidents occurring at the venue or during travel to and from the Event.

10.2 By attending the Event, you, including any guests or invitees, assume all risk of personal injury or damage to property. You acknowledge that participation in the Event may involve certain risks, and you voluntarily assume all such risks.

10.3 Without limiting the above, the Organizer excludes all warranties, indemnities, and representations, whether express or implied.

10.4 IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS, REVENUE, GOODWILL, ANTICIPATED SAVINGS, DATA, OR OPPORTUNITY, HOWSOEVER CAUSED OR ARISING, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.     

10.5 NOTWITHSTANDING ANYTHING TO THE CONTRARY, If the Released Parties are found liable to you for any reason related to the Event, their total aggregate liability shall not exceed the total amount of fees paid by you to attend the Event.      

1.6 You acknowledge that attendance at the Event is at your own risk. You are solely responsible for your personal safety and the security of your belongings throughout the Event.

10.7 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE LIABILITY OF THE ORGANIZER AND RELEASED PARTIES SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Third-Party Content and Services

11.1 The Event may include presentations, materials, or content from third parties. Sky Expo Consulting does not endorse or guarantee the accuracy or completeness of any third-party content or services.

11.2 The Event involves interactions with various third parties. While we facilitate these connections, we do not guarantee outcomes or assume liability for third-party actions.

11.3 All images, graphics, and content on our website may be subject to third-party intellectual property rights. You assume all risk and liability for any download, use, or reproduction of such materials. You agree to indemnify and hold harmless the Organizer from any claims arising from your use of website content.

12. Intellectual Property

12.1 All intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, design rights, and patents, in the Event content, promotional materials, branding, and related assets are owned by or licensed to the Organizer.

12.2 No Event content or materials may be copied, reproduced, distributed, publicly displayed, performed, published, or transmitted in any form or by any means without prior written permission from the Organizer, except as expressly allowed under these Terms or by law. Fair use and other exceptions under copyright law apply. The Website Content, including but not limited to text, graphics, images, videos, software, and design elements, is owned or licensed by Sky Expo Consulting. Unauthorized use, reproduction, or distribution of the Website Content, in whole or in part, by any means or in any form, is prohibited without prior written consent from Sky Expo Consulting, except as expressly permitted by these Terms or applicable law.

12.3 By submitting any content or feedback to the Organizer, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and display such content for any purpose.

13. Force Majeure

13.1 Sky Expo Consulting will not be held responsible for any delay, cancellation, or failure to fulfill its obligations related to the Event caused by events beyond its reasonable control, including but not limited to natural disasters, pandemics, labor disputes, government actions, or acts of terrorism.

13.2 In the event of such circumstances, our responsibilities will be suspended for the duration of the event preventing performance. Both you and the Organizer agree to take reasonable steps to minimize any adverse effects caused.

13.3 The Organizer reserves the right to amend these Terms and Conditions at any time; however, the version in effect at your time of registration will govern your participation.

13.4 No third party shall have any right to enforce these Terms and Conditions without prior written consent from both you and the Organizer.

14. Privacy and Data Use

14.1 We collect, process, and protect your personal data in compliance with applicable privacy laws and regulations. Our Privacy Policy details the types of information we collect, how we use it, your rights regarding your data (including access, deletion, and portability rights), third-party sharing practices, cookie usage, and special provisions for California and EU residents. 15. Access and Revocation

15.1 The Organizer reserves the right to refuse or revoke access to the Event at any time for breach of these Terms or disruptive behavior, without refund.          

16. Health and Safety     

16.1 Attendees are responsible for their own health and must not attend the Event if they are feeling unwell or experiencing symptoms of contagious illness. Sky Expo Consulting reserves the right to deny entry or remove from the Event any attendee showing symptoms of illness for the safety of all participants. The Organizer is not responsible for any health- related issues that arise during or after the Event.

16.2 If required, the Organizer may implement health and safety protocols, including but not limited to temperature checks, health questionnaires, etc. Failure to comply with such protocols may result in denial of entry without refund.

16.3 Attendees are encouraged to maintain appropriate health insurance coverage for the duration of their participation in the Event.

17. Photography and Media Consent

17.1 Unauthorized recording, streaming, or transmission of event content is strictly prohibited without prior written consent from the Organizer.

17.2 By registering for and attending the Event, you grant the Organizer the right to photograph, record, and use your image, likeness, and voice in promotional, educational, and marketing materials, including but not limited to social media, press, and online platforms, in perpetuity and without compensation.

17.3 All rights to such media are owned by Sky Expo Consulting. You waive any rights or claims related to the use of this material, including any moral rights or rights of publicity.

If you do not wish to be photographed or recorded, you must notify the Organizer in writing at least five (5) business days prior to the Event.

18. Indemnification     

18.1 To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Sky Expo Consulting, its officers, directors, employees, agents, and employees from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your participation in the Event; (b) your breach of these Terms; (c) your violation of any law or third-party rights; or (d) any content you submit or share at the Event.     .

19. Governing Law

19.1 These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.      

19.2 Any dispute arising out of or relating to these Terms or the Event shall first be attempted to be resolved through good faith negotiations between the parties.

19.3 If negotiation fails, the dispute shall be submitted to binding arbitration in Chicago, Illinois, in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted before a single arbitrator, and the arbitrator’s decision shall be final and binding.

19.4 Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

19.5 Any claims must be brought within one (1) year after the cause of action arises, or such claim is forever barred.

20. No Waiver

2.1 Any failure by the Organizer to enforce any provision of these Terms & Conditions shall not be deemed a waiver of such provision or any other provision.

21. Severability

21.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

22. Entire Agreement

22.1 These Terms and any documents incorporated by reference constitute the entire agreement between the parties and supersede all prior agreements or understandings, whether written or oral, with respect to the subject matter hereof.

23. Assignment      

23.1 You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of the Organizer. The Organizer may assign these Terms without restriction.

24. Electronic Communications

24.1 By providing your email address, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications sent electronically satisfy any legal requirement that such communications be in writing.

24.2 All marketing emails will include an unsubscribe link and our physical mailing address. You may opt-out of marketing communications at any time, though we may still send transactional emails related to your Event registration.

24.3 By registering, you expressly consent to receive Event-related communications via email and, if you provide a mobile number, via text message. You understand that consent is not a condition of registration. Text messaging rates may apply.     

25. Accessibility

25.1 The Organizer is committed to making the Event accessible to all attendees. If you require special accommodations due to a disability, please contact us at info@skyexpoconsulting.com at least thirty (30) days before the Event.

26. Financial Regulations Compliance

26.1 Given the nature of the Event involving investment professionals, you acknowledge that:

a) No investment advice is being provided at the Event;

b) Any information shared is for educational purposes only;

c) You are responsible for compliance with all applicable securities laws and regulations;

d) The Organizer makes no representations regarding any investment opportunities discussed at the Event; and

e) Fundraising is not allowed whatsoever.

26.2 GLBA Compliance. While we are not a financial institution subject to the Gramm-Leach-Bliley Act, we handle information from financial professionals with appropriate safeguards. We maintain administrative, technical, and physical safeguards to protect attendee information.

26.3 SEC and FINRA Compliance. Content and discussions at the Event are for informational purposes only and do not constitute an offer to sell or solicitation to buy any securities. All attendees who are investment professionals must comply with their respective regulatory obligations, including those under SEC and FINRA rules.

26.4 Fair Credit Reporting Act. We do not obtain or use consumer reports or credit information for Event registration purposes. Any background checks for special access areas will be conducted in compliance with FCRA with appropriate disclosures and consent.     

27. Anti-corruption and Anti-Bribery

27.1 You agree to comply with all applicable anti-corruption and anti-bribery laws. You shall not offer, pay, promise, or authorize any bribes or kickbacks in connection with the Event. If the Organizer becomes aware of any breach of this provision, whether during or after the Event, the Organizer reserves the right to take appropriate action, including but not limited to terminating your participation in future events, cancelling sponsorships, and reporting the matter to relevant authorities.     

28. Waiver

28.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND THE ORGANIZER AGREE THAT ANY DISPUTES SHALL BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
